Terms of Service for Imuka Business Manager

Effective Date: January 13th 2025

Welcome to the Imuka Business Manager ("Service"). These Terms of Service ("Terms") govern your access to and use of our platform and services. By signing up for or using the Service, you agree to these Terms. If you do not agree, do not use the Service.


1. Acceptance of Terms

By accessing or using the Service, you confirm that you are at least 18 years old and capable of entering into a legally binding agreement. If you are using the Service on behalf of an organization, you represent that you are authorized to bind the organization to these Terms.


2. Description of the Service

Imuka Business Manager is a business management platform designed to help users streamline operations, including sales, purchases, HR management, reporting, and more. The Service is accessible via a web application and is tailored to support MSMEs.


3. Account Registration and Responsibilities

  • Registration: You must register an account to use the Service. You agree to provide accurate and complete information and update it as necessary.

  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

  • Unauthorized Access: Notify us immediately if you suspect unauthorized use of your account.


4. Subscription Plans and Payment

  • Plans: The Service is available on a single standard subscription tier at UGX 21,900 per month. Pricing is subject to change at our discretion, with prior notice provided to subscribers.

  • Payment: Subscription fees are payable monthly. Payments are non-refundable except as required by applicable law.

  • Billing Cycle: Your subscription will automatically renew unless canceled before the renewal date.

  • Changes to Pricing: We reserve the right to modify pricing, with prior notice provided to subscribers.


5. Free Trial

  • Eligibility: First-time users are eligible for a 14-day free trial. After the trial, you must subscribe to continue using the Service.

  • Termination: We may end the trial period if we detect misuse or violation of these Terms.


6. Permitted Use

  • You may use the Service only for lawful purposes and in accordance with these Terms.

  • Prohibited Activities: You agree not to:

    • Use the Service for fraudulent or unlawful purposes.

    • Share access with unauthorized users.

    • Interfere with the operation or security of the Service.


7. Data and Privacy

  • Data Collection: We collect and process data in accordance with our Privacy Policy.

  • Ownership: You retain ownership of all data you input into the Service.

  • Data Backup: While we implement robust data protection measures, you are responsible for maintaining backups of your data.


8. Intellectual Property

  • The Service, including its content, design, and features, is owned by Imuka Access and is protected under applicable copyright and intellectual property laws.

  • You are granted a limited, non-exclusive license to use the Service for your business needs.


9. Termination

  • By You: You may cancel your subscription at any time. Access will continue until the end of your billing cycle.

  • By Us: We may suspend or terminate your account for violation of these Terms or misuse of the Service.

  • Effect of Termination: Upon termination, access to your account and data will be restricted. You may request data export before account closure.


10. Disclaimers

  • No Warranty: The Service is provided "as is" without warranties of any kind.

  • Limitation of Liability: Imuka Access is not liable for indirect, incidental, or consequential damages arising from the use or inability to use the Service.


11. Governing Law and Dispute Resolution

  • Governing Law: These Terms are governed by the laws of Uganda, including the Contracts Act, Consumer Protection Act, and Value Added Tax Act.

  • Dispute Resolution:

    • Arbitration: Any disputes will be resolved through binding arbitration under the Arbitration and Conciliation Act of Uganda.

    • Local Courts: If arbitration is not pursued, disputes may be taken to Ugandan courts.

    • Alternative Dispute Resolution: Mediation may be utilized before pursuing arbitration or litigation.
